THIS AGREEMENT is made between [notyourtypefoundry], hereafter referred to as the "Licensor", and the purchaser, hereafter referred to as the "Licensee".

1. Introduction


This End User License Agreement (“EULA”) is a legal contract between you (the “End User,” “Customer,” or “Licensee”) and notyourtypefoundry (“notyourtypefoundry”). By purchasing, downloading, installing, or using the Font Software, you agree to be bound by this agreement.

All Font Software is licensed, not sold. After purchase and download, all font licenses are non-returnable and non-refundable, except in the case of technical defects.

2. Definitions

Font Software
All files provided, including but not limited to .otf, .ttf, .woff, .woff2, and their variants.

Project
A single, clearly defined creative commission for one client, with a specific scope, deliverables, and usage context.

Licensee
The end client who commissions and benefits from the project and holds the license rights.

License Certificate
A document issued upon purchase that names the licensee, project, usage type, and permitted scope.

3. Scope of the License
3.1 Project-Based Licensing

Each license is valid for one specific project by one client. New projects or expanded uses (e.g., from a print poster to a social campaign) require a separate license.
The licensee must be the end client.

Designers may purchase on behalf of clients only if the client is clearly named in the license certificate.
A license certificate is issued as proof of use rights. The licensee must retain it.

3.2 Types of Licenses

A license granted for one use case (e.g. social media) does not automatically permit other types of use (e.g. print, web or app), unless specifically bundled or upgraded.

Print/Desktop License
For printed materials like books, posters, brochures, and editorial design.

Logotype License
For creating a single logo or logomark.

Social Media License
For static or animated content published on platforms like Instagram, TikTok, or YouTube.

Web License
For self-hosted use on a website via @font-face.

Visual Identity License
For broader brand elements across print, digital, and environmental design (excluding web/app unless separately licensed).

App License
For embedding in a mobile or desktop application.

Branding License
For full-scale brand use across all platforms and media — usually structured as a custom bundle.

3.3 Trial Fonts

Notyourtypefoundry does not provide trial or demo versions of its Font Software. All Font Software must be licensed prior to any form of use — including internal testing, proposals, or layout previews. Any unauthorized testing, previewing, or internal use of the Font Software without a valid license is strictly prohibited.

If you are preparing a client proposal or layout and would like to preview the Font Software before licensing, please contact us to discuss a temporary or limited-access arrangement.

4. Rights and Restrictions

4.1 Rights Granted


Upon full payment, the Licensee receives a non-exclusive, non-transferable, non-sublicensable right to use the Font Software within the licensed project and media scope. You may use the fonts within the licensed scope and convert text to outlines for static design (e.g., logos); you may not reuse the same license across multiple projects or clients, or extend usage without additional licensing.

4.2 Usage Restrictions

You MAY NOT:
Share, lend, or distribute
the Font Software to any third party.
Upload the Font Software to third-party platforms such as Canva, Framer, or any other tools that allow font files to be uploaded to a cloud-based service.
Embed the fonts in editable or extractable formats (e.g., editable PDFs or online editors).
Use the Font Software for AI training, dataset creation, or any form of generative design system.
Modify, decompile, reverse-engineer, or rename the font files.


4.3 Designer Responsibility & Font File Access

In many cases, designers or studios purchase font licenses on behalf of their clients. While the Licensee (the client) holds the legal right to use the Font Software, the designer is typically the one who installs and operates it.

To ensure proper use of the Font Software—especially regarding format handling, embedding rules, and scope of use—we recommend that font files be managed directly by the designer or agency. Unless the Licensee has purchased the font license themselves, or there is a specific agreement in writing, font files should not be redistributed to the Licensee. If other collaborators (e.g., developers, printers) require access, additional licenses or written permission must be arranged.

In summary:

The Licensee holds the legal rights to use the Font Software within the licensed project.

The designer manages the technical use and storage of the font files.

If the Licensee requires access to the files (e.g., for in-house use), this can be arranged on request.

5. Delivery and Security

Font Software is delivered digitally via a secure, time-limited or tokenized download link.
The Licensee is responsible for ensuring that:

Font files are stored securely in accordance with the license terms.
Access is restricted to the licensed team members and within the scope of the licensed project.
Font files are not shared with external collaborators (e.g., freelancers, printers) unless such collaborators are covered by separate licenses or have received written permission from notyourtypefoundry.

6. No Resale or Intermediaries

notyourtypefoundry sells licenses directly to end users only. There are no authorized resellers. Any license purchase must be made through notyourtypefoundry. Designers and agencies procuring fonts for clients are responsible for correctly communicating the client’s identity and intended use. The contract is formed between Notyourtypefoundry and the named licensee.

7. Warranty & Liability

The Font Software is provided “as is.”
notyourtypefoundry shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Font Software.

8. Termination

Violating this EULA immediately voids the license. The Licensee must delete all copies of the Font Software and cease all usage. Notyourtypefoundry reserves the right to seek legal compensation for unauthorized use.

9. Jurisdiction

This agreement is governed by the laws of the Netherlands. Disputes shall be resolved in the courts of Rotterdam.
